A panel of judges from Eclipse gum, AmieStreet.com and CMJ will take the top 20 artists/bands from the qualifying round with the most votes, review their submissions and narrow down the pool of bands/artists to a group of 5 to be taken into the finalist round.

Eclipse® Sets the Stage™ Contest

Official Rules 

NO PURCHASE NECESSARY TO ENTER OR WIN.  A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. 

ELIGIBILITY: The Eclipse® Sets the Stage™ Contest (“Contest”) is open only to legal residents of the 48 contiguous United States (excluding Alaska and Hawaii) and the District of Columbia.  VOID IN ALASKA AND HAWAII. Entrants must be the age of majority older in his/her state of residence, and solo artists or member of a pre-existing band, at the time of entry.  Entrants must be musicians and must not be, during the period of the Contest or at time of prize fulfillment and acceptance, a party to any agreement with any record label, production company, publishing company or any third party that might interfere with entrants’ participation in the Contest and /or acceptance of the prizes awarded. Employees of Wm. Wrigley Jr. Company ("Sponsor"), its parent companies, affiliates, subsidiaries, advertising and promotion, fulfillment and/or judging agencies (each, a "Contest Entity;" collectively, the "Contest Entities"), and their immediate family members (parents, children, siblings, spouse) and members of their same households (whether related or not), are not eligible. CONTEST IS VOID WHERE PROHIBITED BY LAW. 

HOW TO ENTER/CONDITIONS OF ENTRY: The Contest begins on 08/20/2007 at 11:00 AM PDT and ends 08/24/07 at 11:59 PM PDT. Entrants meeting the eligibility requirements can enter the Contest by becoming a member of  the Amie Street social networking website at www.amiestreet.com (the "Web Site").  There is no fee to register at the Web Site, however, you will be asked to provide your name, email address, and other information in order to register.  Current Amie Street members meeting the eligibility requirements can also submit an entry.  Entries become the property of the Contest Entities and will not be returned.  Additionally, entrants agree that: (i) entrants have obtained all rights, permissions and licenses necessary for the Contest Entities to use the entries for any purpose; and (ii) the entries do not infringe any third party’s intellectual property rights or otherwise violates anyone’s right of privacy or publicity. 

To enter, log on to the Web Site and follow all instructions for the Contest. Entrants should upload his/her/their track per the instructions indicated on the Web Site. The track must be at least 60 seconds in length and not exceed 8 minutes in length.  Limit one entry per solo artist or band.  Multiple entries from individual members of the same band will not be considered. All entries must be completely original to entrants and must not have been taken or composed, in whole or in part, from any other source other than the entrant’s, and must not have been released commercially in order to be eligible to enter Contest. If any entry was created by the result of any collaborative effort, each individual who has any right, title or interest in such entry must have agreed to be entered into this Contest.  To qualify, all entries must be received by 08/24/07 at 11:59 PM, PDT. Entries received after the deadline will not be considered.  Neither Sponsor nor any Contest Entity is responsible for any failure to receive entries owing to lost, late, incomplete, altered or misdirected entries, faulty machinery or other mechanical error or for entries that are corrupted or otherwise not received correctly or for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email, or on account of technical problems or traffic congestion on the Internet or at any web site or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating in the Contest.  

All entries submitted are subject to the Privacy Policy and Terms of Use posted at the Web Site.  An entry will be disqualified, at the sole discretion of Sponsor, if the entrant attempts (a) to enter the Contest through any means other than described in these Official Rules; or (b) to disrupt the Contest, circumvent the terms and conditions of these Official Rules, or in any way tamper with any component of the Contest.  Sponsor also reserves the right to disqualify and remove from the Web Site any entry it deems inappropriate. 

If selected, entrants must conduct media interviews and make media appearances on behalf of Sponsor, prior to, during and after the Contest.  Without limiting anything set out elsewhere in these Official Rules, entry into this Contest constitutes permission to use each entrant’s name, likeness and/or entry in advertising and promotional activities in all media now known or hereafter developed without notice, compensation or other consideration (except where prohibited by law). 

Odds of winning depend on the skill exhibited by each entrant.   

            JUDGING:

                  Quarter -Finals: Twenty (20) quarter finalists will be selected by popular vote conducted between August 25, 2007, 12:01 AM PDT and August 29, 2007, 11:59 PM PDT.  Voting will be conducted on the Web Site.  Only members of  the Web Site are eligible to vote.  The twenty (20) quarter finalists will be notified by e-mail no later than August 30, 2007.  If a quarter finalist fails to respond as required within two (2) business days from the end of the popular voting period, or if such quarter finalist is found to be ineligible, an alternate quarter finalist may be selected. 

                  Semi-Finals: Five (5) semi-finalists will be selected from the entries of the twenty (20) quarter finalists by an independent judging panel selected by the Contest Entities, all decisions of which will be final in all matters related to the Contest and not open to appeal.  The judging panel will judge the entries based on a variety of factors, including but not limited to, general musical ability, songwriting ability, lyrics, originality, creativity, and credibility.  In the event of a tie, the entry with the highest score in Originality will be deemed the winner. The five (5) semi-finalists will be notified by e-mail no later than September 4, 2007.  If a semi-finalist fails to respond as required within two (2) business days from the date of the selection, or if such semi-finalist is found to be ineligible, an alternate semi-finalist may be selected. 

                  Finals: The Grand Prize winner will be selected from the entries of the five (5) semi-finalists by popular vote conducted between September 5, 2007 12:01 AM PDT and September 13, 2007 11:59 PDT.  Voting will be conducted on the Web Site. Only members of  the Web Site are eligible to vote.  In the event of a tie, the tied entries will be re-submitted to the independent judging panel and evaluated on the criteria used to judge the semi-finalists.  The Grand Prize winner will be announced on or before September 14, 2007.  If the Grand Prize winner cannot be reached after a reasonable effort has been made during two (2) business days from the date of the selection, or if such Grand Prize winner is found to be ineligible, an alternate winner may be selected. 

GRAND PRIZE: A showcase during the 2007 CMJ Music Marathon, a $10,000 stipend, plus roundtrip airfare to New York for the winning artist or, if the winner is a band, up to 10 band members (no guests) from the major airport nearest the winner’s primary residence (or, the if Grand Prize winner is a band whose members live in a different locations, from the major airport closest to the primary residence of the majority of band members) and two (2) nights hotel accommodations (double occupancy in each room) in New York. All costs and expenses not specifically listed above, including but not limited to meals, telephone calls and other incidentals and costs are not included.  Grand Prize winner must agree to perform in the CMJ Music Marathon concert between October 16, 2007, through and including October 20, 2007 (exact date TBD).  Approximate Retail Value of Grand Prize: not to exceed $20,000.00 (actual value will depend on whether Grand Prize winner is a solo artist or a band, as well as the departure city and airfare fluctuations).  No difference between the ARV and the actual value, if any, will be awarded. 

PRIZE RESTRICTIONS:  All travel arrangements/accommodations will be made by Sponsor, in its sole discretion.  Grand Prize winner must be available for travel on dates to be designated by Sponsor, or prize will be forfeited in its entirety.  Dates of travel shall be scheduled between October 15, 2007, through and including October 20, 2007.  Sponsor reserves the right, in its sole discretion, to substitute a prize or prizes of equal or greater value for any and all prizes.  No other substitutions, cash equivalents or transfer of prizes allowed unless specifically authorized by Sponsor.  The Grand Prize winner is solely responsible for reporting and paying any and all applicable federal, state, and local taxes and any additional fees associated with prizes.  A 1099 form will be issued to winner and winner may be required to provide his/her social security number for reporting purposes.  As a condition of claiming the Grand Prize, the Grand Prize winner(s) (which includes each band member) must sign and return, within seventy-two (72) hours of delivery to the Grand Prize winner's address identified on the entry submitted by him/her/them, an Affidavit of Eligibility/Release of Liability and Publicity form, unless otherwise prohibited.  Non-compliance within this time period will result in disqualification and an alternate Grand Prize winner will be selected.  Any notification returned to Sponsor as undeliverable will result in disqualification and the naming of an alternate finalist.  Correspondence will not be acknowledged.   

GENERAL CONDITIONS:  If for any reason the Contest is not capable of being conducted as originally planned for any reason, including, without limitation, an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor, the Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Contest, or to conduct the Contest from among all eligible entries received, if any.  The Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Neither the Sponsor nor any Contest Entity is responsible for any problems or technical malfunctions of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by the Sponsor due to technical problems, human error or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to any entrant's or other person’s computer relating to or resulting from participating in the Contest or downloading any materials in the Contest.    The Contest Entities are not responsible for any typographical or other error in the printing of the offer, administration of the Contest.  CAUTION:  ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE, INCLUDING, WITHOUT LIMITATION, THE WEB SITE, OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.     

This Contest is governed by the laws of the State of Illinois substantive and procedural law, without giving effect to any choice of law or conflicts of laws rules or provisions (whether of the State of Illinois) or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than the State of Illinois.  By participating in this Contest, entrants irrevocably consent that Illinois courts shall have personal jurisdiction over any dispute or litigation arising from or relating to this Contest and that venue shall only be in the federal or state courts of Illinois.  As a condition of participating, entrant agrees that: (i) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, consequential, or any other damages, other than for actual out of pocket expenses, if any, and (ii) all causes of action arising out of or connected with this Contest, or any compensation or credit to be provided, shall be resolved individually, without resort to any form of class action; and (iii) any and all claims, judgments, and award shall be limited to actual out of pocket costs incurred, if any, and in no event shall entrant be entitled to receive attorneys’ fees or other legal costs.  By participating in the Contest, and without limiting anything set out elsewhere in the Official Rules, entrants agree (1) to be bound by and abide by these Official Rules and by all decisions of Sponsor, whose decisions are final and not open to appeal; (2) to release and hold harmless Sponsor, each Contest Entity and its and their respective directors, officers, employees, subsidiaries, affiliates, agents, suppliers, divisions, agencies, licensees, and any and all prize suppliers (“Released Parties”), from any and all causes of action, liabilities, suits, cross-claims or counterclaims, or any other claims arising out of or relating to entrants’ participation in the Contest, whether or not arising from the negligence of a released party, including but not limited to, third party claims that may be made against entrants, and claims arising out of or relating to acceptance, receipt, possession or use/misuse of any prize, or any publicity or other public exposure of entrants, including without limitation, claims concerning infringement or invasion of entrants’ privacy or publicity rights, or defamation, or acts undertaken in preparation for or participation in the Contest; (3) to assume all risks, express or implied, associated with all claims released above, including without limitation, all risks concerning entry into and participation in the Contest; and (4) that neither Sponsor, nor any of the foregoing entities have made or are responsible or liable for any warranty, expressed or implied, relative to a prize, including, but not limited to, its quality or fitness or merchantability, and all prizes are tendered on an “as is” basis.  There are no warranties that extend beyond the description on the face of any contest materials oR any prize.  Sponsor reserves the right, in its sole discretion, to suspend, modify or cancel the Contest.  Without limiting the foregoing, if, for any reason, the Contest cannot be run as originally planned, as the result of tampering or infection by computer virus or for any other reason, Sponsor, at its sole discretion, reserves the right to conduct the Contest from among all eligible entries received, if any.   

Without limiting the foregoing, the Grand Prize winner, on behalf of himself/herself/themselves, their executors, heirs and assigns, by acceptance of the Grand Prize, agrees to release the Released Parties from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses of any kind to persons or property which may be sustained in connection with the receipt, ownership or use of the Grand Prize or while preparing for, participating in or traveling to and/or from any prize-related activity or otherwise. 

Entrants agree: (i) that the entries may be used by Contest Entities in whole or in part for any purpose whatsoever without any compensation; and (ii) hereby grant to Contest Entities the non-exclusive, royalty-free, irrevocable right and license to exhibit, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, edit, broadcast, rebroadcast, transmit, record, publicly perform, create derivate works of, and distribute and synchronize in time related to visual elements, the entries and/or any portion or excerpts thereof, in any manner, an unlimited number of times, in any and all media, now known or hereafter devised, throughout the world in perpetuity.  Submission of an entry grants the Contest Entities and its agents the right to publish, use, edit, adapt and/or modify such entry in any way, in any and all media, whether now known or hereafter developed, without limitation and without notice, compensation, or other consideration to the entrant.     

OFFICIAL RULES/WINNERS’ LIST: For names of winners, send a Self Addressed Stamped Envelope to Eclipse “Sets The Stage” Contest, Attn: Hunter Public Relations/ 41 Madison Ave., 5th Floor/ New York, NY 10010.  All requests must be received by November 1, 2007 to be honored. Specify Winners’ List or Official Rules.  Vermont residents may omit return postage if requesting a copy of these Official Rules.
